Baidu International Holdings Limited ("Baidu International" or the "Company", together with its subsidiaries, the "Group") announced that it plans to issue approximately 160 million new shares (the "New Shares"), representing approximately 15% of the Company's enlarged share capital after the issue. The net proceeds from the issuance will be used for general working capital and business development purposes.
The Group's financial advisor, J.P. Morgan Securities (Asia Pacific) Limited ("J.P. Morgan") has been appointed to act as the sole sponsor and underwriter of the issue. The proposed issuance is subject to regulatory approvals and other customary conditions precedent.
